1. Acceptance of Terms

By accessing or using the AuraParse API ("Service"), you agree to be bound by these Terms of Service. This Service is owned and operated by Simpaira Ltd ("Company", "we", "us"). If you do not agree to these terms, please do not use our API.

2. Description of Service

AuraParse provides an Application Programming Interface (API) that uses Artificial Intelligence to extract structured data (JSON) from images of receipts.

AI Disclaimer: Artificial Intelligence is probabilistic. While we strive for high accuracy, we cannot guarantee 100% precision on every extraction. You acknowledge that you should verify critical financial data before using it for tax, accounting, or legal purposes.

3. Accounts and API Keys

• You are responsible for maintaining the confidentiality of your API keys.
• You are responsible for all activities that occur under your account usage quotas.
• Security: We employ a "Show Once" policy. If you lose your API key, you must rotate it immediately via the dashboard. We cannot recover lost keys, only generate new ones.

4. Usage Restrictions

You agree not to use the Service to:

• Process illegal content or images that violate third-party intellectual property rights.
• Reverse engineer, decompile, or attempt to extract the source code of the API.
• Exceed the rate limits of your subscribed plan significantly or attempt to bypass usage tracking.
• Resell the API directly as a standalone raw API product (integrating it into a larger application is permitted and encouraged).

5. Fees and Payment

Some features of the Service are billed on a subscription basis via Stripe ("Paid Plans").

• Billing: You agree to provide current, complete, and accurate purchase and account information.
• Downgrades: You may cancel your subscription at any time. Your access to paid features will continue until the end of the current billing cycle.
• Refunds: Refunds are handled on a case-by-case basis at the sole discretion of Simpaira Ltd.

6. Data & Intellectual Property

Your Data: You retain all rights and ownership of the receipt images you send to the API. As per our Privacy Policy, we process this data transiently in memory and do not store your images or extracted text.

Our IP: Simpaira Ltd retains all rights to the AuraParse API infrastructure, code, and aggregation algorithms.

7. Limitation of Liability

To the maximum extent permitted by law, Simpaira Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any errors or inaccuracies in the AI-generated content.

8. Termination

We may terminate or suspend your API key and access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
